Algemene voorwaarden Webwinkel

Inleiding

Hieronder vindt u onze Algemene Voorwaarden. Deze zijn steeds van toepassing als u gebruik maakt van of een bestelling plaatst via onze Website. De Algemene Voorwaarden bevat belangrijke informatie voor u als koper. Lees deze daarom goed door. Wij raden u verder aan deze voorwaarden op te slaan of af te drukken, zodat u ze op een later moment nog eens kunt teruglezen.

Definities

Young Elite Clothing: gevestigd te Gorinchem en ingeschreven bij de Kamer van Koophandel onder registratienummer 75500116 handelend onder de naam Young Elite Clothing.
Website: de website van Young Elite Clothing, te raadplegen via youngelite.nl en alle bijbehorende subdomeinen.
Klant: de klant die al dan niet handelend in uitoefening van beroep of bedrijf een Overeenkomst aangaat met Young Elite Clothing en/of zich geregistreerd heeft op de Website.
Overeenkomst: iedere afspraak of overeenkomst tussen Young Elite Clothing en Klant, van welke overeenkomst de Algemene Voorwaarden integraal onderdeel uitmaken.
Algemene Voorwaarden: de onderhavige Algemene Voorwaarden.

Toepasselijkheid Algemene Voorwaarden

Op alle aanbiedingen, Overeenkomsten en leveringen van Young Elite Clothing zijn de Algemene Voorwaarden van toepassing, tenzij uitdrukkelijk schriftelijk anders is overeengekomen.
Indien Klant in zijn opdracht, bevestiging of mededeling inhoudende aanvaarding bepalingen of voorwaarden opneemt die afwijken van, of niet voorkomen in de Algemene Voorwaarden, zijn deze voor Young Elite Clothing slechts bindend, indien en voor zover deze door Young Elite Clothing uitdrukkelijk schriftelijk zijn aanvaard.
Voor het geval dat naast deze Algemene Voorwaarden tevens specifieke product- of dienstenvoorwaarden van toepassing zijn, zijn die voorwaarden ook van toepassing, maar kan Klant zich in geval van tegenstrijdige voorwaarden steeds beroepen op de toepasselijke bepaling die voor hem het meest gunstig is.

Prijzen en informatie

Alle op de Website en in andere van Young Elite Clothing afkomstige materialen vermelde prijzen zijn in b2b situatie altijd exclusief btw en in b2c situatie altijd inclusief btw, tenzij op de Website anders vermeld, andere heffingen welke van overheidswege worden opgelegd.
Indien er verzendkosten worden gerekend, zal dit duidelijk, tijdig voor het sluiten van de Overeenkomst worden vermeld. Daarnaast zullen deze kosten in het bestelproces apart worden weergegeven.
De inhoud van de Website is met de grootste zorgvuldigheid samengesteld. Young Elite Clothing kan echter niet garanderen dat alle informatie op de Website te allen tijde juist en volledig is. Alle prijzen en overige informatie op de Website en in andere van Young Elite Clothing afkomstige materialen zijn dan ook onder voorbehoud van kennelijke programmeer- en typefouten.
Young Elite Clothing kan niet verantwoordelijk worden gehouden voor (kleur)afwijkingen ten gevolge van beeldschermkwaliteit.

Totstandkoming Overeenkomst

De Overeenkomst komt tot stand op het moment van aanvaarding door de Klant van het aanbod van Young Elite Clothing en het voldoen aan de daarbij door Young Elite Clothing gestelde voorwaarden.
Indien Klant het aanbod via elektronische weg heeft aanvaard, bevestigt Young Elite Clothing onverwijld langs elektronische weg de ontvangst van de aanvaarding van het aanbod. Zolang de ontvangst van deze aanvaarding niet is bevestigd, heeft de Klant de mogelijkheid de Overeenkomst te ontbinden.
Indien blijkt dat bij de aanvaarding of op andere wijze aangaan van de Overeenkomst door Klant onjuiste gegevens zijn verstrekt, heeft Young Elite Clothing het recht om pas aan haar verplichting te voldoen nadat de juiste gegevens zijn ontvangen.
Young Elite Clothing kan zich binnen wettelijke kaders op de hoogte stellen of Klant aan zijn betalingsverplichtingen kan voldoen, maar ook van alle feiten en factoren die van belang zijn voor een verantwoord aangaan van de Overeenkomst. Indien Young Elite Clothing op grond van dit onderzoek goede gronden heeft om de Overeenkomst niet aan te gaan, is hij gerechtigd om gemotiveerd een bestelling of aanvraag te weigeren of aan de uitvoering bijzondere voorwaarden, zoals vooruitbetaling te verbinden.

Registratie

Om optimaal gebruik te maken van de Website, kan Klant zich registreren via het registratieformulier/ de account-aanmeldmogelijkheid op de Website.
Tijdens de registratieprocedure kiest Klant een gebruikersnaam en wachtwoord waarmee hij na registratie kan inloggen op de Website. Klant is zelf verantwoordelijk voor het kiezen van een voldoende betrouwbaar wachtwoord.
Klant dient zijn inloggegevens, zijn gebruikersnaam en wachtwoord strikt geheim te houden. Young Elite Clothing is niet aansprakelijk voor misbruik van de inloggegevens en mag er steeds vanuit gaan dat een Klant die zich aanmeldt op de Website ook daadwerkelijk die Klant is. Al hetgeen gebeurt via het account van Klant, valt onder de verantwoordelijkheid en het risico van Klant.
Indien Klant weet of vermoedt dat zijn inloggegevens in handen van onbevoegden zijn gekomen, dient hij zo spoedig mogelijk zijn wachtwoord te wijzigen en/of Young Elite Clothing daarvan in kennis te stellen, zodat Young Elite Clothing gepaste maatregelen kan nemen.

Uitvoering Overeenkomst

Zodra de bestelling door Young Elite Clothing is ontvangen, stuurt Young Elite Clothing de producten met inachtneming van het in lid 3 van dit Artikel gestelde zo spoedig mogelijk toe.
Young Elite Clothing is gerechtigd derden in te schakelen bij het uitvoeren van de verplichtingen die voortvloeien uit de Overeenkomst.
Op de Website wordt duidelijk, tijdig voor het sluiten van de Overeenkomst omschreven op welke wijze levering zal plaatsvinden en binnen welke termijn de producten geleverd zullen worden. Indien geen levertermijn is overeengekomen of is vermeld, zullen producten in ieder geval binnen 30 dagen geleverd worden.
Indien Young Elite Clothing de producten niet binnen de overeengekomen termijn kan leveren, stelt zij Klant daarvan in kennis. Klant kan in dat geval akkoord gaan met een nieuwe leverdatum of hij krijgt de mogelijkheid om de Overeenkomst kosteloos te ontbinden.
Young Elite Clothing raadt Klant aan de geleverde producten te inspecteren en de daarbij gebleken gebreken binnen bekwame tijd, bij voorkeur schriftelijk, te melden. Zie nader het Artikel omtrent garantie en conformiteit.
Zodra de te leveren producten op het opgegeven afleveradres zijn afgeleverd, gaat het risico, waar het deze producten betreft, over op Klant. Indien uitdrukkelijk anders is afgesproken, gaat het risico al eerder over op Klant. Als Klant besluit de producten af te halen, gaat het risico over bij overdracht van de producten.
Young Elite Clothing is gerechtigd een soortgelijk product van soortgelijke kwaliteit te leveren zoals het bestelde product, indien het bestelde niet meer leverbaar is. Klant is dan gerechtigd de Overeenkomst kosteloos te ontbinden en het product kosteloos te retourneren.

Herroepingsrecht

Dit artikel is slechts van toepassing op de Klant zijnde een natuurlijk persoon die niet handelt in de uitoefening van zijn beroep of bedrijf.
Klant heeft het recht de op afstand gesloten Overeenkomst met Young Elite Clothing binnen 14 dagen na ontvangst van het product, zonder opgave van redenen, kosteloos te ontbinden.
De termijn gaat in op de dag nadat de Klant, of een vooraf door hem aangewezen derde, die niet de vervoerder is, het product heeft ontvangen, of:

als Klant in eenzelfde bestelling meerdere producten heeft besteld: de dag waarop Klant, of een door hem aangewezen derde, het laatste product heeft ontvangen;
als de levering van een product bestaat uit verschillende zendingen of onderdelen: de dag waarop Klant, of een door hem aangewezen derde, de laatste zending of het laatste onderdeel heeft ontvangen;
bij Overeenkomsten voor regelmatige levering van producten gedurende een bepaalde periode: de dag waarop Klant, of een door hem aangewezen derde, het eerste product heeft ontvangen.

Klant dient de retourkosten zelf te dragen, indien deze kosten hoger zijn dan het reguliere posttarief geeft Young Elite Clothing een raming van deze kosten. De verzendkosten die door Klant zijn gemaakt bij de aankoop van het product worden niet begrepen onder de kosten voor het retourneren en blijven voor eigen rekening van Klant.
Binnen de in lid 1 bedoelde herroepingstermijn zal Klant zorgvuldig omgaan met het product en de verpakking. Klant zal de verpakking slechts openen en het product slechts gebruiken voor zover dit nodig is om de aard, de kenmerken en de werking van producten na te gaan. Uitgangspunt hierbij is dat deze inspectie niet verder mag gaan dan dat Klant in een fysieke winkel zou kunnen.
Klant is alleen aansprakelijk voor waardevermindering van het product die het gevolg is van een manier van omgaan met het product die verder gaat dan toegestaan in het vorige lid.
Klant kan de Overeenkomst conform de in lid 1 van dit Artikel gestelde termijn ontbinden door het modelformulier voor herroeping (digitaal) te zenden aan Young Elite Clothing, of op andere ondubbelzinnige wijze aan Young Elite Clothing kenbaar te maken dat hij van de aankoop af ziet. Young Elite Clothing bevestigt in geval van een digitale melding de ontvangst van die melding. Na ontbinding heeft Klant nog 10 dagen om het product terug te zenden. Het is ook mogelijk om binnen de in lid 1 van dit Artikel gestelde bedenktermijn het product direct terug te zenden, mits het modelformulier voor herroeping of andere ondubbelzinnige verklaring voor herroeping is bijgesloten.

Reeds door Klant (vooruit) betaalde bedragen zullen zo spoedig mogelijk, doch uiterlijk binnen 14 dagen na ontbinding van de Overeenkomst worden terugbetaald aan Klant op dezelfde wijze als dat Klant de bestelling heeft betaald. Als Klant heeft gekozen voor een duurdere methode van levering dan de goedkoopste standaardlevering, hoeft Young Elite Clothing de bijkomende kosten voor de duurdere methode niet terug te betalen. Tenzij Young Elite Clothing aanbiedt het product zelf af te halen, mag Young Elite Clothing wachten met terugbetalen tot Young Elite Clothing het product heeft ontvangen of tot Klant aantoont dat hij het product heeft teruggezonden, naar gelang welk tijdstip eerder valt.
Op de Website wordt duidelijk, tijdig voor het sluiten van de Overeenkomst informatie over het al dan niet van toepassing zijn van het herroepingsrecht en een eventuele gewenste procedure vermeld.
Het herroepingsrecht geldt niet voor:

Producten die door de ondernemer tot stand zijn gebracht overeenkomstig specificaties van de Klant;
Producten die om redenen van gezondheidsbescherming of hygiëne niet geschikt zijn om te worden teruggezonden en waarvan de verzegeling na levering is verbroken;

Zakelijk retourrecht

Het vorige artikel inzake het herroepingsrecht is van overeenkomstige toepassing op zakelijke bestellingen, zij het dat:

Zakelijke Klant de Overeenkomst met Young Elite Clothing binnen 7 dagen na ontvangst van het product dient te ontbinden.
Zakelijke Klant na ontvangst van het retour door Young Elite Clothing enkel het aankoopbedrag terugkrijgt. Klant is zelf verantwoordelijk voor het retour sturen en voor de kosten van het retourneren.
reeds door Zakelijke Klant (vooruit) betaalde bedragen zo spoedig mogelijk, doch uiterlijk binnen 30 dagen na ontbinding van de Overeenkomst en ontvangst van de retouren door Young Elite Clothing zullen worden terugbetaald.

Betaling

Klant dient betalingen aan Young Elite Clothing volgens de in de bestelprocedure en eventueel op de Website aangegeven betaalmethoden te voldoen. Young Elite Clothing is vrij in de keuze van het aanbieden van betaalmethoden en deze kunnen ook van tijd tot tijd wijzigen. In geval van betaling na levering kent Klant een betalingstermijn van 14 dagen ingaand op de dag na levering.
Indien de Klant niet tijdig aan zijn betalingsverplichting(en) voldoet, is deze, nadat hij door de Young Elite Clothing is gewezen op de te late betaling en Young Elite Clothing de Klant een termijn van 14 dagen heeft gegund om alsnog aan zijn betalingsverplichtingen te voldoen, na het uitblijven van betaling binnen deze 14-dagen-termijn, over het nog verschuldigde bedrag de wettelijke rente verschuldigd en is Young Elite Clothing gerechtigd de door hem gemaakte buitengerechtelijke incassokosten in rekening te brengen. Deze incassokosten bedragen maximaal: 15% over openstaande bedragen tot € 2.500,-; 10% over de daaropvolgende € 2.500,- en 5% over de volgende € 5.000,- met een minimum van € 40,-. Young Elite Clothing kan ten voordele van Klant afwijken van genoemde bedragen en percentages.

Garantie en conformiteit

Dit artikel is slechts van toepassing indien er sprake is van een Klant die niet handelt in uitoefening van zijn beroep of bedrijf. Indien er door Young Elite Clothing een aparte garantie op de producten wordt gegeven geldt, onverminderd het zojuist gestelde, dit voor alle type Klanten.
Young Elite Clothing staat er voor in dat de producten voldoen aan de Overeenkomst, de in het aanbod vermelde specificaties, aan de redelijke eisen van deugdelijkheid en/of bruikbaarheid en de op de datum van de totstandkoming van de Overeenkomst bestaande wettelijke bepalingen en/of overheidsvoorschriften. Indien specifiek overeengekomen, staat Young Elite Clothing er tevens voor in dat het product geschikt is voor ander dan normaal gebruik.
Een door Young Elite Clothing, fabrikant of importeur verstrekte garantie doet niets af aan de wettelijke rechten en vorderingen die de Klant op grond van de Overeenkomst al heeft en kan inroepen.
Indien het afgeleverde product niet aan de Overeenkomst beantwoordt, dan dient Klant binnen een redelijke termijn nadat hij het gebrek heeft ontdekt Young Elite Clothing daarvan in kennis te stellen.
Indien Young Elite Clothing de klacht gegrond acht, worden na overleg met Klant de relevante producten hersteld, vervangen of vergoed. De maximale vergoeding is, met inachtneming van het Artikel aangaande aansprakelijkheid gelijk aan de door Klant betaalde prijs over het product.

Garantie bij zakelijke aankopen

Young Elite Clothing staat er voor in dat de producten voldoen aan de Overeenkomst, de in het aanbod vermelde specificaties, aan de redelijke eisen van deugdelijkheid en/of bruikbaarheid en de op de datum van de totstandkoming van de Overeenkomst bestaande wettelijke bepalingen en/of overheidsvoorschriften. Indien specifiek overeengekomen, staat Young Elite Clothing er tevens voor in dat het product geschikt is voor ander dan normaal gebruik. Anders geldt dat het product geschikt is voor normaal gebruik. Daarnaast geeft Young Elite Clothing in ieder geval 1 wasbeurt garantie op alle aankopen.
Indien het afgeleverde product bij aflevering niet aan de Overeenkomst beantwoordt, dan dient Klant binnen uiterlijk 3 dagen na levering Young Elite Clothing daarvan in kennis stellen. Doet Klant dit niet, kan hij geen aanspraak meer maken op herstel, vervanging etc, indien het product defect geleverd is.
Indien Young Elite Clothing de klacht gegrond acht, worden na overleg met Klant de relevante producten hersteld, vervangen of (deels)vergoed.

Klachtenprocedure

Indien Klant een klacht heeft over een product (conform Artikel aangaande garantie en conformiteit) en/of over andere aspecten van de dienstverlening van Young Elite Clothing, dan kan hij bij Young Elite Clothing telefonisch, per e-mail of per post een klacht indienen. Zie de contactgegevens onder aan de Algemene Voorwaarden.
Young Elite Clothing geeft Klant zo spoedig mogelijk, maar in ieder geval binnen 3 dagen na ontvangst van de klacht, een reactie op zijn klacht. Indien het nog niet mogelijk is een inhoudelijke of definitieve reactie te geven, dan zal Young Elite Clothing binnen 3 dagen na de ontvangst van de klacht, de klacht bevestigen en een indicatie geven van de termijn waarbinnen zij verwacht een inhoudelijke of definitieve reactie te geven op de klacht van Klant.
Klant die niet handelt in de uitoefening van zijn beroep of bedrijf kan ook een klacht indienen via het Europese geschillenbeslechtingsplatform, te bereiken via http://ec.europa.eu/odr/.

Aansprakelijkheid

Dit Artikel is slechts van toepassing indien Klant een natuurlijke persoon of rechtspersoon is die handelt in de uitoefening van zijn beroep of bedrijf.
De totale aansprakelijkheid van Young Elite Clothing jegens Klant wegens toerekenbare tekortkoming in de nakoming van de Overeenkomst is beperkt tot vergoeding van maximaal het bedrag van de voor die Overeenkomst bedongen prijs (inclusief btw). In geen geval zal de totale vergoeding voor directe schade echter meer bedragen dan € 250,00 tenzij de redelijkheid en billijkheid zich uitdrukkelijk verzet.
Aansprakelijkheid van Young Elite Clothing jegens Klant voor indirecte schade, daaronder in ieder geval - maar uitdrukkelijk niet uitsluitend - begrepen gevolgschade, gederfde winst, gemiste besparingen, verlies van gegevens en schade door bedrijfsstagnatie, is uitgesloten.
Buiten de in de vorige twee leden van dit Artikel genoemde gevallen rust op Young Elite Clothing jegens Klant geen enkele aansprakelijkheid voor schadevergoeding, ongeacht de grond waarop een actie tot schadevergoeding zou worden gebaseerd. De in dit Artikel genoemde beperkingen komen echter te vervallen indien en voor zover schade het gevolg is van opzet of grove schuld van Young Elite Clothing.
De aansprakelijkheid van Young Elite Clothing jegens Klant wegens toerekenbare tekortkoming in de nakoming van een Overeenkomst ontstaat slechts indien Klant Young Elite Clothing onverwijld en deugdelijk schriftelijk ingebreke stelt, stellende daarbij een redelijke termijn ter zuivering van de tekortkoming, en Young Elite Clothing ook na die termijn in de nakoming van haar verplichtingen tekort blijft schieten. De ingebrekestelling dient een zo gedetailleerd mogelijke omschrijving van de tekortkoming te bevatten, zodat Young Elite Clothing in staat is adequaat te reageren.
Voorwaarde voor het ontstaan van enig recht op schadevergoeding is steeds dat de Klant de schade zo spoedig mogelijk, doch uiterlijk binnen 30 dagen, na het ontstaan daarvan schriftelijk bij Young Elite Clothing meldt.
In geval van overmacht is Young Elite Clothing niet gehouden tot vergoeding van enige daardoor bij Klant ontstane schade.

Eigendomsvoorbehoud Zakelijke Aankopen

Alle geleverde goederen blijven het eigendom van Young Elite Clothing totdat alle vorderingen die Young Elite Clothing op Zakelijke Klant heeft (inclusief eventuele daarmee verband houdende (incasso)kosten en rente) volledig zijn betaald.
Zakelijke Klant is vóór bedoelde eigendomsovergang niet bevoegd deze zaken, anders dan overeenkomstig zijn normale bedrijf en de normale bestemming van de zaken, te verkopen, af te leveren of anderszins te vervreemden. Daarnaast is het Zakelijke Klant niet toegestaan om deze zaken te verpanden of aan derden enig ander recht daarop te verlenen zolang de eigendom van deze zaken niet op Zakelijke Klant is overgegaan.
Zakelijke Klant is verplicht de zaken die onder eigendomsvoorbehoud zijn afgeleverd zorgvuldig en als herkenbaar eigendom van Young Elite Clothing te bewaren.
Young Elite Clothing is gerechtigd de zaken die onder eigendomsvoorbehoud zijn afgeleverd en nog bij de koper aanwezig zijn, terug te nemen indien Zakelijke Klant niet voor tijdige betaling van de facturen zorgdraagt of in betalingsmoeilijkheden verkeert of dreigt te gaan verkeren.
Zakelijke Klant zal Young Elite Clothing te allen tijde vrije toegang verlenen tot zijn zaken ter inspectie ervan en/of ter uitoefening van de rechten van Young Elite Clothing.

Young Elite Clothing verwerkt de persoonsgegevens van Klant conform privacy statement. Deze is hier te vinden: https://youngelite.nl/pages/privacy-statement

Slotbepalingen

Op de Overeenkomst is Nederlands recht van toepassing.
Voor zover door regels van dwingend recht niet anders wordt voorgeschreven, zullen alle geschillen die mochten ontstaan naar aanleiding van de Overeenkomst worden voorgelegd aan de bevoegde Nederlandse rechter in het arrondissement waar Young Elite Clothing gevestigd is.
Indien een bepaling in deze Algemene Voorwaarden nietig blijkt te zijn, tast dit niet de geldigheid van de gehele Algemene Voorwaarden aan. Partijen zullen in dat geval ter vervanging (een) nieuwe bepaling(en) vaststellen, waarmee zoveel als rechtens mogelijk is aan de bedoeling van de oorspronkelijke bepaling gestalte wordt gegeven.
Onder "schriftelijk" wordt in deze Algemene Voorwaarden ook communicatie per e-mail en fax verstaan, mits de identiteit van de afzender en de integriteit van de e-mail voldoende vaststaat.

Introduction

Below you will find our Terms and Conditions. These always apply when you use or place an order through our Website. The Terms and Conditions contain important information for you as a buyer. Please read them carefully. We also recommend saving or printing these conditions so you can read them again at a later time.

Definitions

Young Elite Clothing: located in Gorinchem and registered with the Dutch Chamber of Commerce under number 75500116, trading under the name Young Elite Clothing.

Website: the website of Young Elite Clothing, accessible via youngelite.nl and all associated subdomains.

Customer: the customer who, whether or not acting in the exercise of a profession or business, enters into an Agreement with Young Elite Clothing and/or has registered on the Website.

Agreement: any arrangement or agreement between Young Elite Clothing and Customer, of which these Terms and Conditions form an integral part.

Terms and Conditions: these Terms and Conditions.

Applicability of the Terms and Conditions

These Terms and Conditions apply to all offers, Agreements and deliveries of Young Elite Clothing, unless expressly agreed otherwise in writing.

If Customer includes provisions or conditions in his order, confirmation or communication of acceptance that deviate from or are not included in these Terms and Conditions, these shall only be binding on Young Elite Clothing if and insofar as they have been expressly accepted in writing by Young Elite Clothing.

If, in addition to these Terms and Conditions, specific product or service conditions apply, those conditions also apply, but in case of conflicting conditions, Customer may always rely on the provision that is most favourable to him.

Prices and Information

All prices stated on the Website and in other materials originating from Young Elite Clothing are, in a B2B situation, always exclusive of VAT and, in a B2C situation, always inclusive of VAT, unless stated otherwise on the Website, and exclusive of any other government-imposed levies.

If shipping costs are charged, this will be clearly stated before the Agreement is concluded. These costs will also be shown separately during the ordering process.

The content of the Website has been compiled with the greatest care. However, Young Elite Clothing cannot guarantee that all information on the Website is always correct and complete. All prices and other information on the Website and in other materials originating from Young Elite Clothing are therefore subject to obvious programming and typing errors.

Young Elite Clothing cannot be held responsible for (colour) deviations as a result of screen quality.

Formation of the Agreement

The Agreement is concluded at the moment the Customer accepts the offer from Young Elite Clothing and meets the conditions set by Young Elite Clothing.

If Customer has accepted the offer electronically, Young Elite Clothing will immediately confirm receipt of the acceptance of the offer by electronic means. As long as receipt of this acceptance has not been confirmed, Customer has the possibility to dissolve the Agreement.

If it appears that incorrect data were provided by Customer at the time of acceptance or otherwise entering into the Agreement, Young Elite Clothing has the right to fulfil its obligation only after the correct data have been received.

Within legal frameworks, Young Elite Clothing can inform itself whether Customer can meet his payment obligations, as well as all facts and factors relevant for a responsible conclusion of the Agreement. If, based on this investigation, Young Elite Clothing has good grounds not to enter into the Agreement, it is entitled to refuse an order or request with reasons, or to attach special conditions to the performance such as prepayment.

Registration

To make optimal use of the Website, Customer can register via the registration form/the account registration option on the Website.

During the registration process, Customer chooses a username and password with which he can log in to the Website after registration. Customer is responsible for choosing a sufficiently reliable password.

Customer must keep his login details, username and password strictly confidential. Young Elite Clothing is not liable for misuse of the login details and may assume that a Customer who logs in on the Website is indeed that Customer. Everything that happens via the Customer’s account is the responsibility and risk of Customer.

If Customer knows or suspects that his login details have come into the hands of unauthorised persons, he must change his password as soon as possible and/or inform Young Elite Clothing so that appropriate measures can be taken.

Performance of the Agreement

As soon as the order has been received by Young Elite Clothing, Young Elite Clothing will ship the products as soon as possible, subject to paragraph 3 of this Article.

Young Elite Clothing is entitled to engage third parties in the performance of the obligations arising from the Agreement.

Before concluding the Agreement, the Website will clearly state the method of delivery and the period within which the products will be delivered. If no delivery period has been agreed or stated, products will in any case be delivered within 30 days.

If Young Elite Clothing cannot deliver the products within the agreed period, it will inform Customer. Customer can then agree to a new delivery date or has the option to dissolve the Agreement free of charge.

Young Elite Clothing recommends that Customer inspects the delivered products and reports any defects discovered within a reasonable period, preferably in writing. See also the Article regarding warranty and conformity.

Once the products to be delivered have been delivered at the specified delivery address, the risk in relation to these products passes to Customer. If expressly agreed otherwise, the risk passes earlier to Customer. If Customer decides to collect the products, the risk passes upon transfer of the products.

If the ordered product is no longer available, Young Elite Clothing is entitled to deliver a similar product of similar quality. Customer is then entitled to dissolve the Agreement free of charge and return the product free of charge.

Right of Withdrawal

This Article applies only to Customers who are natural persons not acting in the exercise of a profession or business.

Customer has the right to dissolve the distance Agreement with Young Elite Clothing within 14 days after receiving the product, without stating reasons and free of charge.

The period starts on the day after Customer, or a third party designated by him who is not the carrier, has received the product, or:

if Customer has ordered several products in the same order: the day on which Customer, or a third party designated by him, received the last product;
if the delivery of a product consists of several shipments or parts: the day on which Customer, or a third party designated by him, received the last shipment or the last part;
for Agreements for regular delivery of products during a certain period: the day on which Customer, or a third party designated by him, received the first product.

Customer must bear the costs of returning the product. If these costs are higher than the standard postal rate, Young Elite Clothing will provide an estimate of these costs. The shipping costs incurred by Customer when purchasing the product are not included in the return costs and remain for Customer’s own account.

Within the withdrawal period referred to in paragraph 1, Customer shall handle the product and its packaging with care. Customer will only open the packaging and use the product to the extent necessary to determine the nature, characteristics and functioning of the products. The principle here is that this inspection may not go further than what Customer could do in a physical store.

Customer is liable only for any diminished value of the product that results from handling the product beyond what is permitted in the previous paragraph.

Customer may dissolve the Agreement within the period referred to in paragraph 1 of this Article by sending the model withdrawal form (digitally) to Young Elite Clothing, or by otherwise unambiguously notifying Young Elite Clothing that he withdraws from the purchase. In the event of a digital notification, Young Elite Clothing will confirm receipt of that notification. After withdrawal, Customer has 10 days to return the product. It is also possible to return the product directly within the cooling-off period referred to in paragraph 1 of this Article, provided that the model withdrawal form or other unambiguous statement of withdrawal is enclosed.

Any amounts already paid by Customer (in advance) will be refunded as soon as possible, but no later than 14 days after withdrawal from the Agreement, to the same payment method used by Customer to pay for the order. If Customer has chosen a more expensive method of delivery than the cheapest standard delivery, Young Elite Clothing does not have to refund the additional costs for the more expensive method. Unless Young Elite Clothing offers to collect the product itself, Young Elite Clothing may wait with reimbursement until it has received the product or until Customer proves that he has returned the product, whichever is earlier.

Before concluding the Agreement, the Website will clearly state whether the right of withdrawal applies and, if so, the desired procedure.

The right of withdrawal does not apply to:

Products manufactured according to the Customer’s specifications;
Products that are not suitable for return for reasons of health protection or hygiene and whose seal has been broken after delivery.

Business Return Right

The previous Article on the right of withdrawal applies mutatis mutandis to business orders, except that:

Business Customer must dissolve the Agreement with Young Elite Clothing within 7 days of receiving the product.
After receipt of the return by Young Elite Clothing, Business Customer only receives the purchase price back. Customer is responsible for returning the product and for the costs of returning.
Any amounts already paid by Business Customer (in advance) will be refunded as soon as possible, but no later than 30 days after withdrawal from the Agreement and receipt of the return by Young Elite Clothing.

Payment

Customer must make payments to Young Elite Clothing in accordance with the payment methods indicated in the ordering process and possibly on the Website. Young Elite Clothing is free in its choice of offering payment methods and these may change from time to time. In the case of payment after delivery, Customer has a payment term of 14 days starting on the day after delivery.

If Customer does not fulfil his payment obligation(s) on time, after being notified by Young Elite Clothing of the late payment and after Young Elite Clothing has granted Customer a period of 14 days to still fulfil his payment obligations, Customer shall owe statutory interest on the amount still due and Young Elite Clothing is entitled to charge the extrajudicial collection costs it has incurred. These collection costs are a maximum of: 15% on outstanding amounts up to €2,500; 10% on the next €2,500 and 5% on the next €5,000 with a minimum of €40. Young Elite Clothing may deviate from the aforementioned amounts and percentages in favour of Customer.

Warranty and Conformity

This Article applies only if Customer is not acting in the exercise of a profession or business. If Young Elite Clothing provides a separate warranty on the products, this applies—without prejudice to the above—to all types of Customers.

Young Elite Clothing warrants that the products comply with the Agreement, the specifications stated in the offer, the reasonable requirements of soundness and/or usability and the legal provisions and/or government regulations existing on the date of the conclusion of the Agreement. If specifically agreed, Young Elite Clothing also warrants that the product is suitable for other than normal use.

A warranty provided by Young Elite Clothing, manufacturer or importer does not affect the legal rights and claims that Customer already has under the Agreement and may invoke.

If the delivered product does not comply with the Agreement, Customer must notify Young Elite Clothing within a reasonable time after discovering the defect.

If Young Elite Clothing deems the complaint justified, the relevant products will be repaired, replaced or reimbursed after consultation with Customer. Subject to the Article on liability, the maximum compensation is equal to the price paid by Customer for the product.

Warranty for Business Purchases

If the delivered product does not comply with the Agreement upon delivery, Customer must notify Young Elite Clothing within 3 days of delivery. If Customer fails to do so, he can no longer claim repair, replacement, etc., if the product was delivered defective.

If Young Elite Clothing deems the complaint justified, the relevant products will be repaired, replaced or (partially) reimbursed after consultation with Customer.

Complaints Procedure

If Customer has a complaint about a product (in accordance with the Article on warranty and conformity) and/or about other aspects of the services provided by Young Elite Clothing, he can submit a complaint to Young Elite Clothing by telephone, email or post. See the contact details at the end of these Terms and Conditions.

Young Elite Clothing will respond to Customer’s complaint as soon as possible, but in any case within 3 days after receipt of the complaint. If it is not yet possible to provide a substantive or final response, Young Elite Clothing will confirm receipt of the complaint within 3 days and give an indication of the period within which it expects to provide a substantive or final response to Customer’s complaint.

Customers not acting in the exercise of a profession or business may also submit a complaint via the European Online Dispute Resolution platform, available at http://ec.europa.eu/odr/.

Liability

This Article applies only if Customer is a natural or legal person acting in the exercise of a profession or business.

The total liability of Young Elite Clothing towards Customer due to an attributable failure in the performance of the Agreement is limited to compensation of at most the price stipulated for that Agreement (including VAT). In no event shall the total compensation for direct damage exceed €250.00, unless reasonableness and fairness expressly dictate otherwise.

Liability of Young Elite Clothing towards Customer for indirect damage—expressly including but not limited to consequential damage, lost profit, missed savings, loss of data and damage due to business interruption—is excluded.

Apart from the cases mentioned in the previous two paragraphs of this Article, no liability for damages whatsoever rests on Young Elite Clothing towards Customer, regardless of the grounds on which an action for damages would be based. However, the limitations mentioned in this Article do not apply if and insofar as the damage is the result of intent or gross negligence on the part of Young Elite Clothing.

Liability of Young Elite Clothing towards Customer due to an attributable failure in the performance of an Agreement arises only if Customer immediately and properly gives Young Elite Clothing notice of default in writing, granting a reasonable period to remedy the failure, and Young Elite Clothing still fails to fulfil its obligations after that period. The notice of default must contain a description of the failure that is as detailed as possible, so that Young Elite Clothing can respond adequately.

A condition for any right to compensation is always that Customer reports the damage to Young Elite Clothing as soon as possible, but no later than 30 days after its occurrence, in writing.

In the event of force majeure, Young Elite Clothing is not obliged to compensate any damage suffered by Customer as a result.

Retention of Title for Business Purchases

All goods delivered remain the property of Young Elite Clothing until all claims that Young Elite Clothing has against Business Customer (including any related (collection) costs and interest) have been paid in full.

Before the transfer of ownership referred to above, Business Customer is not authorised to sell, deliver or otherwise dispose of these items other than in accordance with his normal business operations and the normal purpose of the items. In addition, Business Customer is not permitted to pledge these items or grant any other right thereto to third parties as long as ownership has not transferred to Business Customer.

Business Customer is obliged to store the items delivered under retention of title carefully and as recognisable property of Young Elite Clothing.

Young Elite Clothing is entitled to take back the items delivered under retention of title and still in the purchaser’s possession if Business Customer fails to ensure timely payment of the invoices or is in payment difficulties or is likely to get into such difficulties.

Business Customer shall at all times grant Young Elite Clothing free access to his premises for the inspection of these items and/or for the exercise of Young Elite Clothing’s rights.

Final Provisions

Dutch law applies to the Agreement.

Unless mandatory law provides otherwise, all disputes arising from the Agreement will be submitted to the competent Dutch court in the district where Young Elite Clothing is established.

If any provision of these Terms and Conditions proves to be null and void, this does not affect the validity of the entire Terms and Conditions. In that case, the parties will adopt one or more new provisions to replace the null and void provision(s), taking into account the purpose and intent of the original provision(s) as much as legally possible.

“Written” in these Terms and Conditions also includes communication by email and fax, provided the sender’s identity and the integrity of the email are sufficiently established.
